BMG, RCA And Liquid Audio Team Up To Offer Exclusive Secure Downloads From A Live Performance By Dave Matthews Band

U.S. Music Fans Can Securely Preview and Purchase Four Songs Not Available Anywhere
Else At Retail Web Sites in the Liquid Music Network Beginning September 29th

Proceeds from Digital Download to Benefit VH1 Save The Music

REDWOOD CITY, Calif. (September 17, 1999) ‹ BMG Entertainment¹s RCA Records and
Liquid Audio, Inc., (Nasdaq: LQID) today announced they will offer live recordings of
Dave Matthews Band over the Internet as secure digital downloads exclusively through
Liquid Audio. Four live songs from the band¹s September 11th show ‹ recorded but not
aired as part of a PBS special ‹ will be offered to U.S. fans for preview or purchase
via retail Web sites in the Liquid(TM) Music Network starting September 29th at
www.liquidaudio.com/dmb. This is the first time music from a superstar artist will be
made available for purchase exclusively on the Internet. In addition, Dave Matthews
Band and BMG/RCA are donating all proceeds from the digital download to VH1 Save The
Music, and are teaming up with Liquid Audio on a more than $1 million marketing
campaign in support of what is now the largest Internet exclusive music charity
event.

PBS will broadcast music from the sold out Dave Matthews Band concert in Continental
Air Arena in East Rutherford, New Jersey as an ŒIN THE SPOTLIGHT¹ special on
Wednesday, September 29 at 10:30 p.m. Eastern (check local listings). Four songs from
the concert not included in the broadcast will be available exclusively as Liquid
Audio digital downloads at participating retail Web sites. Fans can use Liquid(TM)
Player software to sample the music, check out lyrics and liner notes, and purchase
and download the live tracks right to their PC. Each of the four songs will have a
suggested retail price of $3.49 and will be bundled together as two separate "buy
one, get one free" download offers. In addition, one of the four songs being offered
for sale will also be available as a free promotional download that will time out
after seven days. Proceeds from download sales will be donated to VH1 Save the Music.

"Our goal is to use the broad reach of the Internet to provide millions of music fans
with access to exclusive live music from the Dave Matthews Band and to bring
significant added value to our retail partners," said Kevin Conroy, senior vice
president of Worldwide Marketing at BMG Entertainment. "We selected Liquid Audio for
the digital downloads because they are compliant with SDMI standards, offer excellent
sound quality as well as visual presentation, and provide full service retail
distribution. We are looking forward to taking advantage of the continually
increasing range of opportunities related to digital music."

Dave Matthews Band and BMG/RCA will donate all proceeds to VH1 Save The Music
initiative, a non-profit organization set up to bring music instruction to one
million children during the next decade. VH1 Save The Music is dedicated to improving
the quality of education in America's public schools by restoring and supporting
music programs in cities across the country, and by raising public awareness about
the importance of music participation for American youth.

BMG/RCA, Liquid Audio and PBS are teaming up on a more than $1 million marketing
campaign in support of this Dave Matthews Band Internet exclusive music event. The
campaign will include TV, print, outdoor, radio and online advertising; fan-club
based online direct marketing and broad online distribution to retail Web sites.
Planned advertising outlets include Entertainment Weekly, Rolling Stone, Spin and USA
Today.

A modern music phenomenon, Dave Matthews Band (www.dmband.com and
www.bugjuice.com/dmb) has been together since the early 1990s. The band signed to RCA
Records in late 1993 and proceeded to release a string of platinum albums, building
an audience first in clubs, then arenas, and ultimately selling out stadiums across
